  1. Client Responsibilities

You agree to:

  • Provide timely access to content, credentials, assets, and approvals required to complete the Services
  • Ensure that all materials you provide (text, images, logos, data) are owned by you or properly licensed
  • Review work promptly and request revisions within a reasonable timeframe

Delays caused by missing information, approvals, or third-party access may impact timelines and are not the responsibility of Platinum Web Services.

  1. Intellectual Property

Unless otherwise agreed in writing:

  • Upon full payment, you are granted ownership rights to the final website design and content created specifically for you
  • Platinum Web Services retains the right to display completed work in its portfolio, website, or marketing materials

Pre-existing tools, code frameworks, plugins, themes, or proprietary processes used in development remain the property of their respective owners.

  1. Maintenance & Ongoing Services

Website maintenance services may include updates, backups, monitoring, and minor changes as outlined in your service plan.

Platinum Web Services is not responsible for:

  • Issues caused by third-party plugins, hosting providers, or platforms
  • Security breaches resulting from outdated credentials, third-party software, or client-installed tools
  • Content changes or errors made directly by the client or unauthorized parties

Maintenance services do not guarantee uninterrupted service or absolute security.

  1. Payments & Fees
  • All fees are disclosed in advance via proposal or invoice
  • Payments are due according to the agreed schedule
  • Late payments may result in paused work, suspended maintenance, or restricted access

All payments are non-refundable unless explicitly stated in writing.

  1. Third-Party Services

Websites may rely on third-party services including hosting providers, plugins, payment processors, or APIs. Platinum Web Services is not responsible for downtime, errors, updates, pricing changes, or failures caused by third-party providers.

Use of third-party services is subject to their own terms and policies.

  1. Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis. While we strive for high quality and reliability, we do not guarantee:

  • Specific performance results
  • Search engine rankings
  • Revenue, leads, or conversions
  • Error-free or uninterrupted operation
  1. Limitation of Liability

To the fullest extent permitted by law, Platinum Web Services shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data, revenue, or business opportunities.

Total liability shall not exceed the amount paid by the client to Platinum Web Services during the three (3) months preceding the claim.

  1. Termination

Either party may terminate services with written notice in accordance with any active agreement.

We reserve the right to suspend or terminate services immediately if these Terms are violated or if continued service poses legal, security, or operational risk.

  1. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles.

  1. Changes to Terms

Platinum Web Services may update these Terms at any time. Changes are effective immediately upon posting. Continued use of our Services constitutes acceptance of the updated Terms.
